These Terms of Use (the “Terms”) govern your access to and use of the OneStream Software Solution Exchange and related services (the “Solution Exchange”) operated by OneStream Software LLC, a Delaware company with main offices at 191 N Chester St, Birmingham, Michigan 48009, USA (“OneStream,” “we,” “us,” or “our”). By accessing the Solution Exchange, you agree to be bound by these Terms. If you do not agree, do not access or use the Solution Exchange. If you log in to the Solution Exchange or use or benefit from the Applications, then the terms of your Agreement with OneStream shall apply and prevail over these Terms.
1. Definitions
- “Application” means either OneStream solution or Vendor solution, any software, digital tool, integration, dataset, or other digital offering made available for download, subscription, or use through the Solution Exchange.
- “Customer” means a person or entity with a valid contract with OneStream or a Vendor for the use of any Applications.
- “OneStream IP” means the OneStream solutions, Solution Exchange, the underlying platform technology, OneStream branding, and any documentation or other materials made available by OneStream (excluding Vendor Applications and User Content).
- “Order Schedule” means an order form, statement of work, or electronic order process executed between a Customer and OneStream or a Vendor.
- “User” or “you” means any person accessing or using the Solution Exchange on behalf of a Customer, including buyers and prospective buyers.
- “User Content” means any information, data, ratings, reviews, or other content submitted, posted, or transmitted by a User to or through the Solution Exchange.
- “Vendor” means a third-party developer, publisher, or other provider that lists Applications on the Solution Exchange.
- “Vendor License Terms” means the end-user license agreement, subscription or SaaS agreement, or other terms under which a Vendor licenses an Application to a User.
2. Nature of the Solution Exchange
The Solution Exchange is a platform that facilitates the discovery, distribution, and (where applicable) provisioning of Applications offered by OneStream and independent Vendors. OneStream: (a) does not develop, own, or control Applications listed by Vendors except where OneStream is expressly identified as the vendor; (b) does not grant licenses to Vendor Applications; and (c) is not a party to Vendor License Terms or Order Schedules between Users and Vendors. All Vendor Application licenses are granted directly by Vendors to Users.
